1. What do we offer?

We are providing a software-as-a-service product that can assist you in achieving your sales goals by minimizing the need for manual data entry. Our product, the Solution, is available as a Chrome Extension and can be accessed through our website a www.salesprospect.io. You will need to integrate the Solution with your CRM system.

2. What do you need to know about SalesProspect's Terms and Conditions?

SalesProspect's Terms and Conditions are the sole governing document that defines our contractual relationship. They outline the terms and conditions for the use of our Solution and Services, as well as our obligations and yours.

You can find SalesProspect's Terms and Conditions by clicking on the direct link located at the bottom of the SalesProspect website page.

How can you accept SalesProspect's Terms and Conditions?

To accept SalesProspect's Terms and Conditions, you must check the box provided in the registration form. If you do not agree to all of our Terms and Conditions, you will not be able to access the Solution and Services.

In addition, there may be special conditions that supplement the Terms and Conditions. In the event of a conflict between the two, the special conditions will prevail.

3. What are the conditions for accessing SalesProspect's Services?

(i) You must be either:

  • A natural person with full legal capacity
  • A legal person represented by a natural person with the power or authority to enter into a contract on your behalf.

(ii) You must be a professional, which includes any natural or legal person who acts for commercial, industrial, artisanal, liberal, or agricultural purposes, even when acting on behalf of another professional.

4. How can you subscribe to SalesProspect's Services?

To subscribe to SalesProspect's Services, you must be registered to Hubspot and authorize the Solution to access your CRM instance. By doing so, you expressly authorize SalesProspect to access your account data on the relevant third-party CRM site.

5. How can your users use SalesProspect's Services?

Once you have registered and connected your Hubspot instance with the Website, a "Company" account will be automatically created in your name (the "Company Account"), linked to your Hubspot. This will also create an account in your name (the "Account"), which you can use to install the Solution and access SalesProspect's Services.

You will receive an email containing a secure "magic link" that will allow you to connect to the Solution and access the Company Account and its dashboard.

After creating your Account, you can freely create accesses for Users, up to the maximum number allowed by your subscribed Services. It is your sole responsibility to create access for Users and to ensure that they use the Solution in compliance with our Terms and Conditions.

6. How can you access SalesProspect's Solution?

You can access SalesProspect's Solution directly on the Website where it operates, as well as through our Chrome Extension. The link to the Solution and related integration documentation can be found on the Website.

7. What Services does SalesProspect offer?

Our Services, which are described on the Website, are the ones you have subscribed to. You acknowledge that you are aware of the characteristics and constraints of our Services, particularly the technical requirements, and that the implementation of the Solution requires an internet connection. We are not responsible for the quality of the Services, which depends on the quality of your internet connection.

We reserve the right to offer additional Services, and any request to modify your subscribed Services will require a new subscription.

Throughout your use of SalesProspect's services, you'll benefit from maintenance services which include corrective and upgrade maintenance. As a result, access to the SalesProspect platform may be limited or temporarily suspended during planned maintenance, which can be either corrective or upgrade maintenance.

We strive to provide you with the best possible corrective maintenance services to fix any malfunctions or bugs found on the platform. Additionally, during the duration of your subscription, you'll receive upgrade maintenance services that may occur automatically and without prior notice. These services will include improvements to the platform's functionality and technical facilities used in connection with the platform, such as minor or major extensions.

We take due care in providing the hosting of the SalesProspect platform on our servers or through a professional hosting provider, all of which are located in the European Union.

If you experience any difficulties while using SalesProspect's services, please contact us using the contact details provided in the header of this document.

Your subscription to SalesProspect's services is on a subscription basis and starts on the day of your subscription for either a monthly or yearly period. The subscription will automatically renew for successive periods of the same duration (including the initial period), unless the subscription is terminated according to the terms outlined in the "How to Terminate Our Services" section.

8. Pricing for SalesProspect Services?

The prices for SalesProspect's services are displayed on our website in EUR or USD and do not include tax.

If applicable, any exchange rate charges will be your responsibility at the time of payment. You are solely responsible for paying all bank charges related to the payment of the prices, except for our bank's charges.

Any period that has been started is due in full. We reserve the right to offer promotional offers or price reductions. Prices are subject to revision at any time as outlined in the "How can we modify our Terms and Conditions?" section.

We will send you an invoice for each subscription period via any useful means.

Payment for the subscription is made by credit card through the secure online payment service specified on our website.

By using the payment method, you guarantee that you have the necessary authorizations to use it.

In the event of default or delay in payment, we reserve the right, starting the day after the due date shown on the invoice, to:

Declare all sums owed by you to us to be in arrears and immediately payable. Suspend the services in progress immediately until full payment of the amounts due. Invoice interest on arrears for our benefit at a rate equal to 3 times the legal interest rate, based on the amount of the sums not paid on the due date, and a fixed indemnity of 40 euros for collection costs, without prejudice to additional compensation if the collection costs actually incurred exceed this amount.

9. What are our respective intellectual property rights?

Intellectual property rights on the SalesProspect platform

The SalesProspect platform, including the website, software, infrastructures, databases, and content of any kind (such as texts, images, visuals, music, logos, trademarks, etc.), are our property and are protected by all intellectual property rights or database producers' rights in force.

The license we grant you does not include any transfer of ownership.

You and your Users benefit from a non-exclusive and non-transferable license to use the SalesProspect platform in SaaS mode for the duration of your subscription, as specified in the article "How long do you subscribe to our Services?"

As an exception to this section, we may both use our respective names, trademarks, and logos and refer to our respective platforms as commercial references for the duration of our contractual relationship and for 3 years thereafter.

Intellectual property rights on the Content

By using our Services, you acknowledge that any content of any kind that you publish on the SalesProspect platform (the "Content") is intended for community exchange.

You may also provide testimonials regarding your use of the Services.

Therefore, you agree that we may:

  • Broadcast the Content and testimonials free of charge on the SalesProspect platform and on any other websites, published by any companies with which we have agreements, by any means and on any medium, for the purpose of promoting the SalesProspect platform,
  • Translate the Content and testimonials into any language,
  • Modify the Content and testimonies, including the framing, format, and colors, and/or adapt them to the technical constraints of the SalesProspect platform (such as alterations or degradations in their quality).

10. As a user of SalesProspect's, you have the following obligations and responsibilities:

Provision of Information

You agree to provide us with all necessary information to subscribe to our Services and use the Solution.

Account Management

You are responsible for maintaining accurate and up-to-date information on your account. Your account information serves as proof of your identity and is binding on you once validated. You must keep your email inbox secure and confidential, as it is used to send you "Magic links" to access the Solution. If you become aware that your account has been accessed without your knowledge, you must contact us immediately using the contact information provided. We reserve the right to take appropriate action in such cases.

Concerning the use of the Solution

As a user of the SalesProspect Solution, you are responsible for the proper use of the Solution and Services, as well as any information shared with other users. All users of the Solution are subject to the same obligations.

By using the Solution, you expressly authorize SalesProspect to access your company's LinkedIn account and any other necessary data, including merging the data, in order to implement the Solution. You agree to provide all necessary information to enable SalesProspect to do so.

Please note that the Solution is not a LinkedIn product, and SalesProspect has no association with LinkedIn Corporation or any Sales Navigators. As such, you are solely responsible for compliance with the terms and conditions of LinkedIn, Sales Navigators, and any CRM tools. SalesProspect will not be held responsible for any disputes arising from your relationship with these tools.

You are prohibited from misusing the Solution for any purpose other than those for which it was designed, including engaging in illegal or fraudulent activities, harming public order and morality, infringing on the rights of third parties, violating contractual, legislative, or regulatory provisions, or interfering with the computer systems of third parties.

Additionally, you may not copy, modify, or misappropriate any of SalesProspect's property or concepts used in connection with the Services, interfere with or breach SalesProspect's computer security measures, or market, transfer, or provide access to the Solution or any of SalesProspect's property.

You are solely responsible for any content you post as part of the Services and may not distribute any content that violates public order and morality, infringes on the rights of third parties, is misleading or deceptive, or is harmful to the computer systems of third parties.

You agree to indemnify SalesProspect against any claims or actions that may be brought against SalesProspect as a result of a breach of your obligations, including any losses suffered or sums paid by SalesProspect as a result.

11. What are SalesProspect's obligations and what is SalesProspect responsible for?

SalesProspect undertakes to provide the Services with due diligence, ensuring that we are bound by due care.

SalesProspect also undertakes to comply with the applicable regulations.

Any delay attributable to the customer will result in a corresponding delay in the agreed delivery time.

Concerning the use of the Solution

SalesProspect makes every effort to provide quality Services. To ensure this, we carry out regular checks to verify the functioning and accessibility of our Solution, and we may conduct scheduled maintenance as specified in the "Maintenance" section.

However, SalesProspect is not responsible for any difficulties or temporary impossibility of access to our Solution and the Services due to:

  • circumstances outside of our network (including partial or total failure of customer servers)
  • equipment, cabling, services, or networks not included in our Services or not under our responsibility
  • interruption of the Services by telecom operators or internet service providers
  • customer intervention, particularly through an incorrect configuration applied to the Services
  • force majeure.

SalesProspect is responsible for the operation of our servers, and the outer limits of which are the connection points.

Furthermore, we do not guarantee that the Services:

  • subject to constant research to improve performance and progress, will be completely free of errors, defects, or faults
  • being standard and not offered according to your own personal constraints, will specifically meet your needs and expectations.

12. Subscription Cancellation and Refund Policy

For subscribers opting for an annual plan, SalesProspect provides a 14-day refund window commencing from the date of purchase. Should you wish to cancel your subscription beyond this period, please note that refunds will not be issued. However, you retain the right to cancel your subscription at any point. Following cancellation, your access to SalesProspect services will persist until the conclusion of the current billing cycle, after which no further renewals will occur.

For those on a monthly subscription plan, the terms mirror those of the annual plan, with each billing cycle spanning 30 days.
